The NDA Kit for Startups Talking to Investors

DolceDrago 312 — a skill for the conversation where nobody will sign

Variant of Nº062 — The NDA Kit

legalAny jurisdictionAny — the output language is set by youvariant

What it is

Handles confidentiality inside a raise, where the mother's assumption breaks: the counterpart usually refuses to sign, and insisting costs the meeting. Sets the disclosure layers, builds the dated record that does the work a signature would have done, and drafts the agreement for the cases where one is genuinely normal — corporate investors, diligence after a term sheet, code, unfiled inventions. Then reviews what comes back, because exclusivity arrives dressed as confidentiality.

What you receive

a fundraise disclosure plan — what investors see at each layer without paper, the dated record that stands in for the signature, the NDA for the moments that warrant one, and the review of the investor's own paper
